Terms of Service

By accessing or using Newtradium (the “Platform”), you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction), that you are legally permitted to use automated trading-research software, and that you are not a resident of any jurisdiction where digital-asset experimentation is prohibited. If you use the Platform on behalf of an entity, you represent that you have authority to bind that entity.

Access may be suspended immediately if these representations become untrue.

Newtradium is an experiment, not a product you should trust with money you cannot lose. The Platform — including its strategies, decision engine, risk controls, and execution pipelines — is provided for research and educational purposes only. It is in active development, may contain defects, may produce unexpected or irrational output, and may be modified or discontinued at any time without notice.

No representation is made that any strategy, signal, backtest, ensemble vote, activation gate, or risk parameter is correct, safe, profitable, or fit for any purpose. Metrics shown anywhere in the UI (win rates, CAGR, profit factors) are computed from historical or simulated data and carry no predictive guarantee.

Nothing on the Platform constitutes financial, investment, legal, accounting, or tax advice, nor a recommendation, solicitation, or offer to buy or sell any asset or instrument. Output produced by the decision engine — BUY/SELL/HOLD signals, reasoning logs, ensemble scores — is machine-generated experimental content with no warranty of accuracy or suitability.

You are solely responsible for your own investment research and decisions. Consult a licensed professional before risking real funds in any market.

By default every account operates in Sandbox mode using FakeCoins — a fictional unit credited at 1,000 per account and pegged to USD purely as a display convenience. FakeCoins have no monetary value, cannot be purchased, sold, transferred, redeemed, or exchanged for anything of value, and exist only inside the Platform database. Simulated fills are modeled from live third-party market data with synthetic fees and slippage; they do not represent executable market positions.

Sandbox performance — including resets, win rates, and equity curves — is meaningless outside the Platform and must never be interpreted as evidence of future live profitability.

Live Mode is disabled by default and gated behind multiple confirmations. If — and only if — you deliberately enable it, connect exchange API credentials, and type the required acknowledgement literal, you accept all of the following risks knowingly and voluntarily:

• Total loss. Automated strategies can lose your entire connected balance rapidly, including within minutes of enabling Live Mode. Markets gap; software fails; stop-losses can slip or fail entirely.
• Software risk. The decision engine, venue integrations, network transport, and hosting infrastructure may malfunction, misprice, duplicate, delay, or omit orders. Bugs are expected in experimental systems.
• No supervision. In autonomous modes orders execute without human review. Nobody at Newtradium is watching your account or will intervene on your behalf.
• Market & venue risk. Exchange outages, API rate limits, delistings, regulatory action, extreme volatility, illiquidity, counterparty failure, and custody loss at the venue are all outside the Platform's control.
• Credential risk. Although keys are stored encrypted, any system connected to trading APIs carries intrusion and misuse risk. You grant connected keys only the permissions you choose, and you remain responsible for venue-side security settings.

Only ever connect capital whose total loss you can absorb without material harm. If that sentence gives you pause, stay in Sandbox.

Administrative functions are restricted by allowlisted accounts and token checks. You are responsible for maintaining the confidentiality of any credentials used to access the Platform and for all activity under your accounts. Notify us immediately of unauthorized use. We may suspend access suspected of compromise or abuse.

• Do not probe, scan, or test the vulnerability of the Platform.
• Do not interfere with other users' sessions, data, or balances.
• Do not use the Platform for market manipulation, wash trading, front-running, money laundering, terrorist financing, sanctions evasion, or any illegal activity.
• Do not resell, mirror, or commercially exploit the Platform without written consent.
• Do not attempt to extract, reverse-engineer, or exfiltrate model weights, prompts, strategy parameters, or other proprietary logic.

The Platform, including its brand, interface, code, shaders, strategy implementations, documentation, and design (“Materials”), is owned by NEWTRADIUM, LLC and protected by intellectual-property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Platform for personal experimentation. All other rights are reserved.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED. JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY SOME OR ALL OF THE FOREGOING TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEWTRADIUM, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR DIGITAL ASSETS, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM — INCLUDING LOSSES INCURRED THROUGH LIVE TRADING EXECUTED VIA CONNECTED VENUES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES THESE LIMITS APPLY TO THE FULLEST PERMITTED EXTENT.

You agree to indemnify and hold harmless NEWTRADIUM, LLC against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, your violation of law, or any trading activity executed through credentials you configured.

We may modify the Platform or these Terms at any time. Material changes will be reflected by the “last updated” date above; continued use after changes take effect constitutes acceptance. We may suspend or terminate access at any time, for any reason, including conduct we deem harmful to the Platform or other users. Sections 3–5 and 9–11 survive termination.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. If any provision is found unenforceable, the remainder stays in force. These Terms constitute the entire agreement between you and NEWTRADIUM, LLC regarding the Platform.
